BIOROWER Global Subscription & Rent with Buy-Out Option Terms and Conditions<\/div>\n

\u00a7 1 General & Core Financial Structure (0% Rent with Buy-Out Option)<\/div>\n

<\/p>\n

a) The Customer enters into this agreement with BIOROWER GmbH<\/strong>, Petritschgasse 6\/2\/2, 1210 Vienna, Austria (hereinafter referred to as \u201cBIOROWER\u201d). This contract governs a 0% interest-free rental and subscription model with a subsequent transfer of ownership option (Buy-Out).<\/div>\n

<\/p>\n

b) Financial Structure:<\/strong> The agreement is structured as a fixed 30-month term. The total contract value is defined in the individual commercial invoice\/quote and consists of:<\/div>\n

<\/p>\n

    \n
  1. An initial 50% down payment<\/strong> based on the agreed total equipment value, due immediately upon order placement.<\/span><\/li>\n
  2. The remaining 50% split equally into 30 consecutive monthly rental installments<\/strong> (amounting to exactly 1.66% of the equipment value per month).<\/span><\/li>\n
  3. Interest Rates:<\/strong> The nominal and effective annual interest rate is strictly 0.00%<\/strong>. The base equipment price for this subscription model is identical to the upfront purchase price.<\/span><\/li>\n<\/ol>\n

    <\/p>\n

    c) Retention of Title & Buy-Out Option:<\/strong> All equipment remains the sole legal and exclusive property of BIOROWER for the entire 30-month rental duration. Upon successful and timely receipt of the 30th monthly installment, the Customer is granted a unilateral, automated Buy-Out Option for \u20ac 0.00 \/ $ 0.00<\/strong>. Upon execution, full legal ownership transfers to the Customer without any final charges.<\/div>\n

    <\/p>\n

    d) Credit Check:<\/strong> BIOROWER reserves the right to conduct a soft or hard credit check and request official proof of identification or business registration before accepting the order.<\/div>\n

    \u00a7 2 Global Shipping, Customs, and Delivery Terms<\/div>\n

    <\/p>\n

    Shipping, delivery, and import duties are governed by geographical zones. Import duties, customs clearance fees, and local taxes are never included, except for the USA mainland.<\/strong><\/div>\n

    <\/p>\n

    a) United States of America (USA) – Mainland:<\/strong><\/div>\n

    <\/p>\n

      \n
    • Curbside shipping (delivery to the curbside of the address) is fully included.<\/span><\/li>\n
    • Delivery is handled on a DDP (Delivered Duty Paid)<\/strong> basis. All standard import duties, customs clearance fees, and domestic import handling charges are covered by BIOROWER.<\/span><\/li>\n
    • Tariff Escalation Clause:<\/strong> Import duties are covered based on the statutory tariff rates applicable at the time of order confirmation. Any extraordinary or statutory increase in customs tariffs or import penalties imposed by US authorities between the order confirmation and the date of cross-border dispatch will be charged to the Customer.<\/span><\/li>\n
    • Local state taxes (Sales Tax) are calculated additionally based on the destination state.<\/span><\/li>\n<\/ul>\n

      <\/p>\n

      b) Europe (including EU, UK, Switzerland, Norway, Liechtenstein, etc.):<\/strong><\/div>\n

      <\/p>\n

        \n
      • Curbside shipping is fully included for the European continent.<\/span><\/li>\n
      • Non-EU Countries (e.g., United Kingdom, Switzerland, Norway, Liechtenstein):<\/strong> All local import duties, customs clearance fees, and customs brokerage charges are NOT included<\/strong> and must be settled by the Customer directly with local authorities.<\/span><\/li>\n
      • Local statutory Value Added Tax (VAT) \/ Import Turn-over Tax of the respective destination country applies on top of the net price.<\/span><\/li>\n<\/ul>\n

        <\/p>\n

        c) Canada & Australia:<\/strong><\/div>\n

        <\/p>\n

        • Curbside shipping is fully included. All local import duties, customs clearance fees, brokerage charges, and provincial\/federal sales taxes (e.g., GST\/HST\/PST) are NOT included<\/strong> and are the sole responsibility of the Customer.<\/span><\/li>\n<\/ul>\n

          <\/p>\n

          d) Rest of the World (Asia, South America, Middle East, etc.):<\/strong><\/div>\n

          <\/p>\n

            \n
          • International ocean\/air freight, shipping costs, local duties, and taxes are NOT included<\/strong> and will be calculated individually and charged on top of the initial 50% down payment.<\/span><\/li>\n<\/ul>\n

            <\/p>\n

            \u00a7 3 Delivery Condition & Exclusion of Physical Installation<\/div>\n

            <\/p>\n

            a) Frictionless Self-Assembly:<\/strong> The BIOROWER is delivered as a precision system designed for intuitive and straightforward assembly by the Customer. Comprehensive, high-definition instructional materials and setup documentation are provided by BIOROWER to guarantee a smooth and flawless setup.<\/div>\n

            <\/p>\n

            b) Standard Delivery Scope:<\/strong> The contractual price for both the upfront purchase and the 30-month subscription model includes curbside delivery to the specified address only, according to the geographical rules defined in \u00a7 2.<\/div>\n

            <\/p>\n

            c) Exclusion of Physical On-Site Installation:<\/strong> On-site installation, physical assembly, and personal calibration by a BIOROWER factory technician are explicitly excluded from all standard pricing. If physically requested by the Customer, a custom, non-refundable quote based on real-time transcontinental travel expenses, shipping logistics, and technician day-rates will be issued additionally by BIOROWER.<\/div>\n

            <\/p>\n

            \u00a7 4 Right of Withdrawal & Immediate Service Execution (EU\/UK B2C)<\/div>\n

            <\/p>\n

            Applies strictly to private consumers (B2C) within the EU and the United Kingdom:<\/em>
            a) The Customer has a statutory 14-day right of withdrawal (cooling-off period) for distance contracts.<\/div>\n

            <\/p>\n

            b) Immediate Coaching Execution Waiver:<\/strong> The digital onboarding materials and video masterclasses are available immediately upon order confirmation. By accessing these digital contents or participating in the Saturday Live Zoom Coaching Classes within the 14-day cooling-off period, the Customer explicitly requests immediate execution of the service and acknowledges that they lose their right of withdrawal regarding the digital service component once the content has been accessed or the class has been attended<\/strong>.<\/div>\n

            \u00a7 5 Default, Acceleration & Repossession<\/div>\n

            <\/p>\n

            a) Acceleration Clause (Terminverlust):<\/strong> If the Customer defaults on two consecutive monthly installments<\/strong>, BIOROWER will issue a formal 14-day default notice. If the outstanding balance is not settled within these 14 calendar days, BIOROWER has the right to declare the entire remaining balance of the 30-month term immediately due and payable<\/strong>.<\/div>\n

            <\/p>\n

            b) Surrender Obligation:<\/strong> If the accelerated balance is not settled, the Customer loses all rights of possession. The Customer is legally required to immediately surrender the device and make it available for curbside pickup by a freight forwarder appointed by BIOROWER.<\/div>\n

            <\/p>\n

              \n
            • For Consumers (B2C):<\/em> Statutory local laws regarding residential privacy remain unaffected. BIOROWER will enforce the surrender judicially if the Customer fails to comply.<\/span><\/li>\n
            • For Businesses (B2B):<\/em> BIOROWER or its agents have the immediate right to access commercial premises to retrieve the device.<\/span><\/li>\n<\/ul>\n

              <\/p>\n

              c) Repossession Costs:<\/strong> The Customer is fully liable for all costs associated with debt collection, legal fees, asset retrieval, and freight forwarders required to return the machine to Vienna.<\/div>\n

              <\/div>\n

              <\/p>\n

              \u00a7 6 Maintenance, Insurance & Location<\/div>\n

              <\/p>\n

              a) Maintenance:<\/strong> The Customer must maintain the equipment according to the BIOROWER manufacturer guidelines. Technical alterations or modifications are strictly prohibited.
              b) Insurance:<\/strong> The Customer is required to include the machine in their residential or commercial property insurance against theft, water damage, fire, and accidental damage. The Customer is liable for the full replacement value in case of total loss.
              c) Location:<\/strong> The equipment must remain at the delivery address. Any relocation requires immediate written notification to BIOROWER.<\/div>\n
